M&A Corporate Counsel – Legal Division

About the role

The Legal Division is seeking an experienced M&A Corporate Counsel to lead and support merger and acquisition transactions in Taipei. The role involves close collaboration with finance, strategy, tax, HR and business teams to ensure smooth execution of complex corporate deals.

Key responsibilities

• Provide legal support for M&A transactions, including structuring, due diligence, drafting and negotiating term sheets and definitive agreements.
• Advise on joint ventures, strategic investments and other complex corporate transactions.
• Collaborate with internal stakeholders across finance, strategy, tax, HR and business units to ensure seamless execution.
• Manage external counsel and coordinate multi‑jurisdictional legal advice.
• Monitor legal and regulatory developments that may impact M&A strategy and execution.
• Support post‑transaction integration and ongoing corporate governance matters.

Required profile

• Minimum 10 years of post‑qualification legal experience, with 3‑5 years focused on M&A transactions.
• Prior experience at a reputable international law firm is strongly preferred.
• Strong understanding of cross‑border deal structuring, due diligence and negotiation processes.
• Fluent in Mandarin and English, both spoken and written.
• Bar qualification in Taiwan, the United States or another jurisdiction is a plus.
• Excellent communication, analytical and project‑management abilities.
• Ability to work independently in a fast‑paced, collaborative global environment.
