Legal Counsel

About the role

SIRAYA is seeking a Legal Counsel to support its rapid growth and international expansion. The role will build a solid legal support framework, improve contract management, and strengthen risk control across the business.

Key responsibilities

• Review, draft, and negotiate commercial agreements such as customer, vendor, partnership contracts, NDAs, and service agreements.
• Provide day‑to‑day legal advice to Sales, Finance, Operations, HR, and Product teams, identifying and mitigating legal and commercial risks.
• Develop and maintain standard contract templates, clause libraries, and contract guidelines to improve efficiency.
• Support corporate governance activities, including board materials, internal resolutions, company registrations, and signing processes.
• Assist with compliance matters covering data privacy, information security, employment law, intellectual property, and cross‑border regulatory requirements.
• Coordinate with external counsel and international legal contacts for opinions, research, and document preparation.

Required profile

• Law degree with relevant professional qualification.
• Proven experience in commercial contract review and negotiation, preferably in technology or SaaS environments.
• Strong understanding of corporate governance, compliance, and risk management.
• Ability to work collaboratively with cross‑functional teams and external advisors.

Required skills

• Knowledge of SaaS, cloud services, AI product licensing, and data‑privacy regulations.
• Familiarity with intellectual‑property law and cross‑border legal issues.
• Excellent analytical and drafting skills for contracts and legal documents.
