Chairman of the Board – Executive Leadership Role

About the role

The Chairman of the Board will serve as the chief steward of corporate governance and shareholder alignment during a critical post‑restructuring phase for a semiconductor materials company. Reporting to the Parent Company Chairman, the role works closely with the Founder/President and executive team to drive product qualification and long‑term commercial growth.

Key responsibilities

• Preside over the Board of Directors, establishing rigorous, transparent governance practices and overseeing committees such as Audit, Compensation, and Risk Management.
• Ensure strict management accountability, enterprise risk oversight, regulatory compliance, IP protection, and fair‑trade practices.
• Maintain integrity of corporate reporting, guaranteeing accurate financial, engineering and operational metrics are communicated to the Board.
• Act as primary liaison between key shareholders, institutional investors and the Founder/President, aligning interests and facilitating consensus on milestones, budgets and strategic pivots.
• Coordinate shareholder ecosystem advantages to remove operational roadblocks for management.
• Lead the qualification of business lines with Tier‑1 semiconductor clients (e.g., Micron, TSMC), providing senior executive sponsorship in negotiations and leveraging industry networks.
• Guide corporate strategy transition from EPC/infrastructure build‑out to high‑yield commercial manufacturing and operational excellence.

Required profile

• Proven experience in corporate governance and board leadership.
• Track record of driving management accountability and overseeing risk, compliance and IP protection.
• Strong ability to communicate and align interests among shareholders, investors and executive teams.
• Hands‑on experience with qualifying semiconductor products for Tier‑1 customers.
• Strategic vision for transitioning companies from infrastructure build‑out to commercial manufacturing.
